Terms of Service

These terms are the agreement between Marshall Matters (PTY) LTD and the business that signs up to Vista Service Desk. Please read them before you sign up. Ticking the box on the sign-up form, and using Marshall Matters (PTY) LTD, means your business agrees to them.

If you sign up on behalf of a business, you confirm that you are allowed to bind it to these terms.

1. Who we are

Vista Service Desk is provided by Marshall Matters (PTY) LTD, a private company registered in South Africa (registration number 2024 / 699084 / 07, VAT number 4690319712).

In these terms "we" and "us" mean Marshall Matters (PTY) LTD; "you" means the business that signs up, and "your users" means the people you give a login to.

2. The service

Marshall Matters (PTY) LTD is workshop software for bicycle shops, used over the internet: job cards, booking, customer messages, reports and the other modules you choose when you sign up or add later.

We keep improving it, so screens and features change from time to time. We will not take away a module you pay for without telling you first.

We aim to keep Visa Service Desk available all day, every day, but cannot promise it will never be interrupted — for example; for maintenance, or when a service it depends on is down. Where we can, we do maintenance outside shop hours.

3. Your account and your users

The person who signs up becomes the owner of the account. The owner decides who else gets a login, at which store, and what each login may see and do.

You are responsible for what is done under your account's logins. Keep passwords and PINs private, remove logins for people who leave, and tell us straight away at hello@vistaservicehq.com if you think somebody has got into your account who should not have.

The details you give us — business name, contact person, email and billing details — must be correct, and you must keep them up to date in Settings.

4. Your free month, your card and paying

Your first month is free. To start, you add a card through Paystack, our payment provider. Your card details go to Paystack and never reach us; we keep only the card's type and last four digits, and a reference from Paystack that lets the monthly payment be taken.

When you add a card, Paystack takes a R1 charge to check that the card works. Ask us and we will refund it.

After the free month, the monthly fee is charged to your card on the same day each month, until you cancel. The fee is the price of each module you chose, for each store, as shown when you signed up. All prices are in rand and include VAT. We send a tax invoice for each payment.

Adding a module or a store is charged at the price shown on the day you add it, from your next payment. Removing one lowers your fee from your next payment.

Text messages: your account receives a monthly allowance of SMSs, topped up to that allowance each month (unused messages do not build up beyond it). Further messages are bought in bundles, charged to your card when you buy them. Bundles are not refundable.

We may change our prices. If a change affects what you pay, we will email the account owner at least 30 days before it takes effect, and you may cancel before then.

5. If a payment does not go through

If a monthly payment fails, we email you so that you can put it right. Nothing is switched off straight away.

If the payment is still outstanding 7 days later, your account is put on hold: your users cannot sign in until it is paid. Where a store pays on its own card, only that store is put on hold.

Nothing is deleted while an account is on hold. As soon as the payment goes through, everybody can sign in again.

6. Cancelling

The account owner can cancel at any time under Settings → Subscription. Cancelling stops all further payments straight away, and your users can no longer sign in.

We do not refund part of a month already paid for, or SMS bundles already bought.

After you cancel, we keep your information for 30 days, so that the account can be restored if you change your mind — contact us at hello@vistaservicehq.com. After that it is deleted, apart from the records the law requires us to keep, such as tax invoices and payment records (kept for five years under the Tax Administration Act).

Before you cancel, you can download your customer list from the Customers screen. Ask us at hello@vistaservicehq.com within those 30 days if you need anything else from your account.

We may suspend or close an account that is used unlawfully, that breaks section 9, or that has not been paid for. Except where we must act at once to protect other businesses or the service, we will tell you first and give you a chance to put it right.

7. Your information and your customers' information

What you put into Vista Service Desk — your customers, bikes, jobs, messages and figures — remains yours. You allow us to store and process it only to run Vista Service Desk for you, keep it secure, support you, and meet our legal obligations.

For your customers' personal information you are the "responsible party" under the Protection of Personal Information Act (POPIA), and we are your "operator": we process it on your behalf, only as needed to provide Vista Service Desk, and keep it confidential and secure as section 21 of POPIA requires. You are responsible for having a lawful reason to collect and use it, and for telling your customers how you use it.

We will tell you without delay if we have reason to believe your customers' personal information has been accessed by somebody not allowed to.

Our Privacy Policy explains what we collect, why, and who we share it with. It forms part of these terms.

8. Services you connect

Vista Service Desk can work with other services you choose to connect — for example Lightspeed (your till), Xero (your books, read only), Paystack (deposits taken from your own customers), SMS and WhatsApp messaging, email. Those services are provided by other companies under their own terms, and you need your own agreement with them where they ask for one.

We are not responsible for those services being unavailable, changing how they work, or charging you. Information that moves between Vista Service Desk and a connected service (for example customers and sales from your till) is checked by you as you use it.

9. Using Vista Service Desk properly

You and your users may not use Vista Service Desk to break the law; to send messages to people who have not agreed to receive them or who have asked not to; to try to reach another business's information; to test, probe or overload it; to copy, resell or rebuild it; or to put anything harmful into it.

Messages sent from Vista Service Desk by SMS, WhatsApp or email go out in your business's name, and you are responsible for what they say and for having the customer's permission where the law requires it. Marketing messages must respect section 69 of POPIA and the customer's choice to opt out, which Marshall Matters (PTY) LTD records. We may stop a message that would break the law.

10. Our software

Vista Service Desk, its design and its software belong to us. These terms give your business the right to use it while your account is active; they do not transfer any ownership. Suggestions you send us we may use freely to improve Vista Service Desk.

11. Support

Ask us for help at hello@vistaservicehq.com. We answer during South African business hours and do our best to deal quickly with anything stopping your shop from working.

12. Responsibility for loss

We provide Vista Service Desk with reasonable care and skill. Apart from that, and as far as the law allows, we do not give any other promise about it — for example that it will suit every way of working, or never contain a mistake.

As far as the law allows, we are not responsible for indirect or consequential loss, such as lost profit, lost business or lost opportunity, and our total responsibility to you for any claim is limited to the fees you paid us in the 12 months before the event that gave rise to the claim.

Nothing in these terms limits a responsibility that the law does not allow to be limited, including rights your business may have under the Consumer Protection Act where it applies.

You agree to cover us against claims by your customers or others that arise from how your business used Vista Service Desk — for example a message sent without the person's permission — except where the claim arises from our own fault.

13. Changes to these terms

We may update these terms. The current version is always at https://app.vistaservicehq.com/terms with the date it took effect. If a change matters to you, we will email the account owner at least 30 days before it takes effect; if you do not agree, you may cancel before then. Carrying on using Vista Service Desk after the change means your business accepts it.

14. Law and disputes

These terms are governed by the law of South Africa. If something goes wrong, please tell us first at hello@vistaservicehq.com so that we can try to put it right. If we cannot resolve it between us, it may be taken to a court in South Africa that has jurisdiction.

15. General

These terms and the Privacy Policy are the whole agreement between us about Vista Service Desk. If a part of them cannot be enforced, the rest still applies. If we do not insist on a right straight away, we have not given it up.

We may send you notices by email to the account owner's email address, or show them in Vista Service Desk. You may send notices to hello@vistaservicehq.com. Agreeing to these terms online, and notices by email, are valid under the Electronic Communications and Transactions Act.
